The following terms and conditions apply to your use of the platform. This includes mobile and tablet versions, as well as any other version of Processnavigation accessible via desktop, mobile, tablet, social media or other devices.
By using the platform, you agree to these terms and conditions and our privacy policy. In these terms and conditions, the words “platform” refer to the Processnavigation website and the set of services offered by Processnavigation, “we”, “us”, “our”, and “Processnavigation” refers to Processnavigation and “you”, and “user”, refers to you, the user of Processnavigation.

2.1 CCPA DisclosuresIn accordance with the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA):
No Sale or Sharing of Personal InformationProcessnavigation does not sell or share personal information as those terms are defined under the CCPA/CPRA. Any personal information collected is used solely for the purposes of providing the platform and related services, as described in our Privacy Policy.
Non-DiscriminationProcessnavigation will not discriminate against users for exercising their rights under the CCPA/CPRA. This means that users will not be denied services, charged different prices, or provided a different level or quality of service as a result of exercising their legal rights.

3. DATA PROCESSING AGREEMENT (DPA) AND END USER LICENSE AGREEMENT (EULA)
Data Processing Agreement (DPA)Where Processnavigation processes personal data on behalf of a customer in its capacity as a Data Processor (under GDPR) or Service Provider (under CCPA), such processing is governed by the terms of the Data Processing Agreement (DPA). The DPA forms an integral part of these Terms and is binding on all customers who engage Processnavigation to process personal data.
End User License Agreement (EULA)Individual end users who access the platform are also bound by the End User License Agreement (EULA). The EULA governs the conditions of access and use of the software by end users and must be accepted as a condition of using the platform. In the event of any conflict between these Terms and the EULA, the EULA shall prevail with respect to individual user obligations and restrictions.

4. ACCEPTANCE OF TERMS
By using Processnavigation, you accept these Terms in their entirety. We reserve the right to update or modify these Terms at any time without notice. It is the User’s responsibility to periodically review the Terms to be aware of any changes. Your continued use of the platform following the posting of changes constitutes acceptance of those changes.
By using the platform, you represent and warrant that you have the full right, power and authority to enter into this agreement and to fully perform all of your obligations hereunder. You further represent and warrant that you are not under any legal incapacity or contractual restriction that would prevent you from entering into this agreement.
5. NOTIFICATIONS
By providing your email address to Processnavigation, you agree that we may use your email address to send you notifications about Processnavigation. We may also use your email address to send you notifications and other messages, such as changes to service features, news and special content. If you do not wish to receive these emails, you may opt-out of receiving them by submitting your unsubscribe request through the contact information or by using the “unsubscribe” option in the emails. Opting out may prevent you from receiving notifications and mailings about updates, news or special content.
6. DESCRIPTION OF THE SERVICES

Customer ResponsibilitiesCustomers are solely responsible for all content, data, and materials uploaded to or generated through the platform. Customers must ensure that the collection and use of any personal data in connection with onboarding, scheduling, reporting, or other features of the platform is lawful, complies with applicable privacy and employment laws, and has a valid legal basis. Processnavigation provides the platform as a tool but does not control or assume responsibility for the management of employment relationships, HR practices, or compliance with industry regulations by customer organizations.
Prohibited DataCustomers shall not upload, store, or process through the platform any sensitive or special categories of personal data (including health data, biometric data, racial or ethnic origin, political opinions, religious beliefs, or union membership) unless such processing is strictly necessary for business purposes, lawful under applicable data protection legislation, and subject to appropriate safeguards.
Reports and Monitoring DisclaimerAny reports, analytics, or compliance outputs generated by the platform are provided for informational and operational support purposes only. They shall not be construed as Processnavigation’s independent assessment of employee performance or compliance status, nor as legal or regulatory advice. Customers are solely responsible for interpreting and applying such outputs within their organizations.
Requests to exercise your rights under GDPR or CCPA should be submitted using the contact information provided in Section 30 (Contact Information) or as described in our Privacy Policy.
7. SUBSCRIPTION PLANS
The use of the Processnavigation platform may be available through different subscription plans, each of which offers a specific set of functionalities and services. Details and pricing of these plans are available on the Processnavigation website. Users can select the subscription plan that best suits their specific needs and requirements.
By subscribing to a plan, the user agrees to pay the applicable fees, which may be monthly or annual, depending on the billing type selected at the time of subscription. All fees are stated in the currency specified on the website and exclude any applicable taxes, unless otherwise stated.
The method of payment accepted by Processnavigation is credit or debit card. By providing payment information, the user authorizes Processnavigation to automatically charge the credit or debit card provided with recurring subscription fees, according to the selected billing cycle (monthly or yearly). It is the user’s responsibility to ensure that the credit or debit card information provided is complete, accurate and up to date.
The subscription will automatically renew at the end of each billing period (monthly or yearly), unless the user cancels the subscription prior to the renewal date. Processnavigation will send a pre-notification prior to automatic renewal to remind the user about the upcoming renewal and the corresponding charge. If the user wishes to cancel their subscription, they must do so through their account settings on the platform prior to the renewal date. The cancellation will be effective at the end of the current billing period and the user will continue to have access to the platform functionalities until the end of the current billing period. No refunds will be offered for partially used subscription periods.
In the event that Processnavigation is unable to process payment using the credit or debit card information provided, the user’s access to the platform may be suspended until the payment information is updated and payment is made. The user is responsible for any bank fees, overdraft fees or other charges incurred as a result of declined payments.
Processnavigation reserves the right to change subscription rates and subscription plan terms at any time. Any changes to the rates or terms of subscription plans will be communicated to the user in advance, and will apply to the next billing cycle. If the user does not agree to the changes, the user may cancel the subscription prior to the renewal date, in accordance with the cancellation process described above.
The user may also have the option to upgrade or downgrade their subscription plan at any time through their account settings. Changes to the subscription plan will be applied immediately, and any difference in subscription fees will be prorated based on the time remaining in the current billing period.
Use of the platform is subject to these terms and conditions, and you agree that Processnavigation shall not be liable for any loss, damage or inconvenience resulting from the suspension, cancellation or modification of subscription plans. By subscribing to a plan, the user acknowledges having read and understood these terms and agrees to comply with them.also comply with all policies and procedures established by Processnavigation and its organization.
8. ACCOUNT
Users can register and open an account on the platform by completing the registration form available on the platform or by registering through their Google accounts. You are responsible for maintaining the confidentiality of your password and account information, and are fully responsible for all activities that occur under your password or account. You agree to immediately notify Processnavigation of any unauthorized use of your password or account or any other breach of security, and to ensure that you log out of your account at the end of each session. You may never use another user’s account without prior authorization from Processnavigation. Processnavigation will not be liable for any loss or damage arising from your failure to comply with this agreement.
Users may cancel their accounts at any time and for any reason through the account settings or by sending us their request through our contact information. Such cancellation will only result in the deletion of the account and the deletion of all personal data provided to Processnavigation.
Processnavigation reserves the right to terminate your account or your access immediately, with or without notice, and without any liability to you, if Processnavigation considers that you have violated any of the provisions contained in these terms and conditions.nds, losses, liabilities, damages, costs or expenses (including reasonable attorneys’ fees) arising out of your breach of these prohibitions or any activity related to your account, whether by act or omission.
9. AGE RESTRICTION
The platform and services of Processnavigation are intended solely for business use and are not directed at individuals under the age of 18. By creating an account or using the platform, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
Processnavigation does not knowingly collect or process personal data from individuals under the age of 18. If we become aware that personal data from a minor has been inadvertently collected, we will take reasonable steps to delete such information without undue delay and, where feasible, not later than 72 hours.
10. ROLES AND RESPONSIBILITIES
10.1 Operational User RolesThe platform in its basic version offers three different types of user roles:
Users must provide accurate and up-to-date information when registering on the platform. They are expected to maintain the confidentiality of their login credentials and to immediately report any unauthorized use of their accounts. Users must also comply with all policies and procedures established by Processnavigation and its organization.
10.2 Data Protection RolesFor the purposes of applicable data protection and privacy laws, including the EU General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA):
Customer Company as Controller/BusinessThe customer company (the employer or contracting organization) acts as the “Data Controller” (under GDPR) or “Business” (under CCPA) with respect to personal data relating to its employees, contractors, or other end users processed through the platform.
Processnavigation as Processor/Service ProviderProcessnavigation acts as a “Data Processor” (under GDPR) or “Service Provider” (under CCPA) when handling such personal data, and will process it only on documented instructions from the customer, as set out in the Data Processing Agreement (DPA).
Processnavigation as Independent Controller/BusinessIn certain cases, Processnavigation may act as an independent Controller/Business, for example when processing limited personal data necessary to manage customer accounts, subscriptions, billing, security, or to comply with applicable legal obligations. In such cases, processing is carried out in accordance with our Privacy Policy.
Customer ResponsibilitiesCustomers are responsible for ensuring that they have an appropriate legal basis for the collection and processing of personal data entered into the platform, and for complying with their own obligations under applicable data protection laws.
11. INTERNATIONAL DATA TRANSFERS
In the course of providing the platform, Processnavigation may transfer and store personal data in countries outside the European Economic Area (EEA), the United Kingdom, or the jurisdiction in which the user is located, including the United States, where some of our service providers (such as cloud hosting, analytics, and payment processors) are established.
Whenever we transfer personal data internationally, we ensure that such transfers are carried out in compliance with applicable data protection laws and that appropriate safeguards are in place, including:
Adequacy DecisionsTransfers to countries recognized by the European Commission or UK Government as providing an adequate level of data protection.
Standard Contractual Clauses (SCCs)Where adequacy does not apply, transfers are governed by the European Commission’s or UK Government’s standard contractual clauses, together with supplementary measures where required.
Other Lawful MechanismsWhere applicable, transfers may be based on explicit consent, necessary for the performance of a contract, or other lawful bases recognized by GDPR and CCPA.
By using the platform, users acknowledge and agree that their personal data may be transferred and processed outside their country of residence in accordance with these safeguards and as further described in our Privacy Policy.
12. SECURITY AND BREACH NOTIFICATION
Processnavigation implements commercially reasonable technical and organizational measures intended to protect personal data against unauthorized or unlawful processing, accidental loss, destruction, or damage. While these measures are designed to reduce risks to a level appropriate to the nature of the personal data and the processing involved, Processnavigation does not warrant or guarantee that unauthorized access will never occur.
In the event that Processnavigation becomes aware of a personal data breach affecting personal data processed on behalf of a customer, we will notify the customer without undue delay and, where feasible, no later than seventy-two (72) hours after becoming aware of the breach. Such notification will include the information reasonably available to Processnavigation at the time.
The customer is responsible for determining whether the breach must be reported to competent supervisory authorities or affected data subjects under applicable data protection laws, except where applicable law requires Processnavigation to make such notifications directly.
Processnavigation will provide reasonable cooperation to assist the customer in investigating, mitigating, and remediating a personal data breach, as further detailed in the Data Processing Agreement (DPA).
Each customer is responsible for implementing appropriate safeguards within its own systems, accounts, and infrastructure, including secure management of user access credentials, network protections, and compliance with internal security policies.
13. RETENTION AND DELETION
Processnavigation retains personal data for as long as necessary to provide the platform and related services, to comply with our legal obligations, and to resolve disputes. Upon termination of a customer’s account, Processnavigation will delete or return personal data processed on behalf of the customer in accordance with the terms of the applicable Data Processing Agreement (DPA), unless applicable law requires retention.

14. PROHIBITED CONDUCT
The user agrees to use the Processnavigation platform responsibly and in compliance with all applicable laws and regulations as well as these terms and conditions. Any use of the platform that may be considered illegal, unauthorized or harmful is strictly prohibited. Prohibited conduct is detailed below:
Failure to comply with any of these prohibitions may result in immediate suspension or termination of the user’s access to the platform, without notice, and may involve civil or criminal liability. Processnavigation reserves the right to investigate and take appropriate legal action against any user who violates these conditions, including reporting such conduct to the appropriate authorities.
You agree to indemnify and hold harmless Processnavigation, its affiliates, directors, employees and agents from and against any claims, demands, losses, liabilities, damages, costs or expenses (including reasonable attorneys’ fees) arising out of your breach of these prohibitions or any activity related to your account, whether by act or omission.
15. LIMITATION OF LIABILITY
Processnavigation provides the platform and its functionalities on an “as is” and “as available” basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Processnavigation makes no warranties, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement.User agrees that use of the platform and its functionalities, including, without limitation, the primary function of providing digital directions, is at User’s own risk. Processnavigation does not warrant that the platform is free of errors, interruptions, viruses or other harmful components. The digital instructions provided are not warranted to be accurate, complete, reliable, current or error-free. The accuracy and effectiveness of the instructions depend to a large extent on the correct implementation and use by the user and the quality of the data provided.
Processnavigation shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, revenue, data, use of data, business interruption, loss of business, contracts, goodwill, reputation or any other loss arising out of the use or inability to use the platform and its functionalities, even if Processnavigation has been advised of the possibility of such damages. This limitation of liability applies to any claim arising out of the use of the platform, whether based on contract, warranty, strict liability, negligence or other tort.
The user acknowledges that the creation, updating and management of digital instructions are the sole responsibilities of the user, and that Processnavigation assumes no responsibility for errors, omissions or inaccuracies in such instructions. Furthermore, the user is responsible for ensuring that the digital instructions are properly implemented and followed in his or her organization.
User agrees to indemnify and hold harmless Processnavigation, its affiliates, directors, employees and agents from any claim, demand, loss, liability, damage, cost or expense (including reasonable attorneys’ fees) arising out of your use of the Platform, violation of these Terms, or infringement of any third party rights, including, without limitation, intellectual property rights.
These limitations apply to the maximum extent permitted by applicable law. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you. In such jurisdictions, Processnavigation’s liability shall be limited to the extent permitted by law.
16. LICENSE TO USE THE PLATFORM
Processnavigation grants you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the Processnavigation platform, including but not limited to modified versions, updates, upgrades, enhancements, improvements, additions, additions and copies, if any. This license is for the sole purpose of allowing you to use the features available on the platform in the manner permitted by these terms. You may not copy, modify, distribute, sell or lease any part of our platform or the included software, nor may you reverse engineer or attempt to extract the source code of such software, unless such restrictions are prohibited by law, or unless you have our written permission.
The user agrees not to use the platform in a negligent, fraudulent or unlawful manner. It also undertakes not to carry out any conduct or action that could damage the image, interests or rights of Processnavigation or third parties. Processnavigation reserves the right to terminate the user’s access immediately, with or without notice, and without liability to the user, if Processnavigation considers that the user has violated any of these terms.
17. INTELLECTUAL PROPERTY
All content available on the Processnavigation platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and any other material that is part of the platform, is the exclusive property of Processnavigation or its licensors and is protected by applicable copyright, trademark and other intellectual property laws. The structure, organization and code of the platform are also protected by trade secret and other intellectual property laws.
The user does not acquire any ownership rights to any content or material accessed through the platform. Reproduction, distribution, modification, public display, public communication, translation, transfer, sale, creation of derivative works, or any other exploitation of the content or the platform without the prior written authorization of Processnavigation is strictly prohibited.
The user agrees not to use, copy, distribute or modify any content available on the platform for any purpose not explicitly permitted by these terms and conditions or by written authorization from Processnavigation. Any unauthorized use of the content may violate copyright, trademark and other laws, and may result in civil or criminal penalties.
The trademarks, logos, trade names and other distinctive marks used on the platform are the property of Processnavigation or their respective licensors. Use of these marks without the express written permission of Processnavigation or the applicable trademark holder is strictly prohibited. Nothing in these terms and conditions or on the platform should be construed as granting, by implication, estoppel or otherwise, any license or right to use any trademark without the prior written permission of the owner.
Processnavigation respects the intellectual property rights of others and expects its users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, you should provide Processnavigation with the following information: (i) an electronic or physical signature of the person authorized to act on behalf of the copyright owner; (ii) a description of the copyrighted work that the user claims has been infringed; (iii) a description of where the material that the user claims is infringing is located within the platform; (iv) the user’s address, telephone number and email address; (v) a statement by the user that he or she has a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (vi) a statement, made under penalty of perjury, that the above information in the user’s notification is accurate and that the user is authorized to act on behalf of the copyright owner.
Processnavigation reserves the right to remove content that infringes the copyrights of third parties without notice and at its sole discretion. In appropriate circumstances, Processnavigation may also suspend or terminate the accounts of users who are deemed to repeatedly infringe the intellectual property rights of others.
You agree to indemnify and hold harmless Processnavigation, its affiliates, directors, employees and agents from and against any claims, demands, losses, liabilities, damages, costs or expenses (including reasonable attorneys’ fees) arising out of your use of the content in violation of these terms and conditions or any infringement of the intellectual property rights of others.
These terms and conditions do not confer any right, title or interest in the platform, the content, or any intellectual property of Processnavigation, except the limited right to use the platform in accordance with these terms. Processnavigation and its licensors reserve all rights not expressly granted in these terms and conditions.
18. COPYRIGHT INFRINGEMENT
Processnavigation will respond to all inquiries, complaints and claims related to the alleged infringement by breach or violation of the provisions contained in Estonian and international copyright and intellectual property laws and regulations. Processnavigation respects the intellectual property of others and expects users to do the same. If you believe, in good faith, that any material provided on the platform infringes your copyright or other intellectual property rights, please submit your request using our contact information, with the following information:

20. DISCLAIMER OF WARRANTIES
Except as provided above we can give no other warranties, conditions or other terms, express or implied, statutory or otherwise and all such terms are hereby excluded to the maximum extent permitted by law.
You will be responsible for any breach of these terms by you and if you use the platform in breach of these terms you will be liable to and will reimburse Processnavigation for any loss or damage caused as a result.
Processnavigation shall not be liable for any amount for failure to perform any obligation under this Agreement if such failure is due to the occurrence of any unforeseen event beyond its reasonable control, including, without limitation, Internet outages, communications outages, fire, flood, or any uncontrollable act of nature.
Subject as aforesaid, to the maximum extent permitted by law, Processnavigation excludes liability for any loss or damage of any kind howsoever arising, including without limitation any direct, indirect or consequential loss whether or not such arises out of any problem you notify to Processnavigation and Processnavigation shall have no liability to pay any money by way of compensation, including without limitation all liability in relation to:
21. ELECTRONIC COMMUNICATIONS
Processnavigation will not accept any responsibility for failed, partial or garbled computer transmissions, for any breakdown, failure, connection or availability of computer, telephone, network, electronic or Internet hardware or software, for Internet accessibility or availability or traffic congestion or for any unauthorized human acts, including any errors or mistakes.
22. INDEMNIFICATION
You agree to defend and indemnify Processnavigation from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by third parties as a result of:

We may change the platform and these terms at any time, in our sole discretion and without notice to you. You are responsible for remaining knowledgeable about these terms. Your continued use of the platform constitutes your acceptance of any changes to these terms and any changes will supersede all previous versions of the terms. Unless otherwise specified herein, all changes to these terms apply to all users take effect.
24. INTEGRATION CLAUSE
This agreement together with the privacy policy and any other legal notices published by Processnavigation, shall constitute the entire agreement between you and Processnavigation concerning and governs your use of the platform.
25. SEVERABILITY
If any section of these terms is held invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired. Our failure to enforce or delay in enforcing any provision of these terms at any time does not waive our right to enforce the same or any other provision in the future.
26. FORCE MAJEURE
Processnavigation shall not be liable for any failure due to causes beyond its reasonable control, including but not limited to acts of civil authorities, acts of military authorities, riots, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances.
27. TERMINATION
Both the user and Processnavigation acknowledge that failure to comply with these terms and conditions may result in termination of the agreement between both parties.
In case of non-compliance by the user: If the user fails to comply with any of the terms set forth in these terms and conditions, Processnavigation reserves the right to unilaterally terminate the user’s access to and use of the platform. Processnavigation may take this action without prior notice, and the user will automatically lose all rights to access and use the platform. Furthermore, Processnavigation shall not be liable for any loss of data or information associated with the user’s account.
In case of non-compliance by Processnavigation: If Processnavigation fails to comply with its obligations under the agreed terms and conditions, the user shall be entitled to terminate the agreement and stop using the platform. The user shall notify Processnavigation in writing of the breach and allow a reasonable time for Processnavigation to remedy the situation. If Processnavigation does not remedy the breach within the set period, the user may proceed with the termination of the agreement.
Termination of the agreement shall not release either party from any obligations and liabilities that have arisen prior to the date of termination.
Continued use of the platform after termination of the agreement by either party shall imply acceptance of the conditions set forth in the terms and conditions in effect at that time.
28. DISPUTES
You acknowledge and agree that any dispute, claim or controversy arising out of or relating to these terms and conditions, whether for breach, termination, enforcement, interpretation or validity, as well as any aspect of the use of the platform, shall preferably be resolved by binding arbitration between you and Processnavigation. However, the right of both parties to bring individual claims before a court of competent jurisdiction if deemed necessary remains.
In the event of any dispute arising in connection with the use of the platform or breach of these terms and conditions, both parties agree to seek a solution through an arbitration process. This process will be carried out before a recognized and respected arbitration entity, selected by mutual agreement of both parties and following the applicable commercial arbitration rules.In addition, the user agrees, to the extent permitted by applicable law, not to initiate, join or participate in class action lawsuits associated with any claim, dispute or controversy that may arise in connection with the use of the platform. This commitment seeks to promote a more agile and personalized resolution of any conflict, favoring arbitration and individual legal actions over collective proceedings.
29. GOVERNING LAW AND JURISDICTION
These terms and conditions shall be governed by and construed in accordance with the laws of Estonia and the European Union. Any dispute relating to these terms shall be subject to the exclusive jurisdiction of Estonia. This applies unless binding arbitration is agreed to under the applicable section.
30. FINAL PROVISIONS
The use of our platform and the services offered by Processnavigation is conditioned upon your acceptance of and compliance with all of the terms and conditions set forth. This authorization to use our services does not extend to jurisdictions where these provisions are not respected or enforced.
Our commitment to the enforcement of these terms is strictly governed by applicable laws and legal process. Importantly, these terms do not restrict our ability to comply with legal or governmental requirements, including, but not limited to, those related to law enforcement and the use of our platform. Information provided or collected in connection with the use of the platform will be subject to these requirements.
In the event that any provision of these terms is held invalid, illegal or unenforceable by a court or competent authority, such decision shall not affect the validity or enforceability of the remaining provisions. The failure or delay in enforcing any of these terms by us at any time shall not constitute a waiver of our rights to enforce such provision, or any other provision, in the future.
